Terms & Conditions

Please read these Terms and Conditions carefully before engaging our services. By instructing Laurentiu Robert Niculescu ("we", "us", "our") to act on your behalf, you agree to be bound by these terms.

2. Services

We provide accounting, bookkeeping, tax advisory, payroll, and financial advisory services to individuals and businesses in the United Kingdom. The specific services to be provided will be agreed in writing (an engagement letter or service agreement) before work commences.

We will provide our services with reasonable skill, care and diligence. Our advice is based on information you provide to us and on UK law and HMRC guidance as applicable at the time. We cannot be responsible for advice that becomes outdated due to changes in legislation after the date it was given unless we have been retained to keep the matter under review.


3. Your Responsibilities

In order for us to provide our services effectively, you agree to:

  • Provide complete, accurate and timely information and documentation as requested
  • Notify us promptly of any changes to your circumstances that may affect the services we provide
  • Review and approve all documents, returns and submissions before they are filed on your behalf
  • Pay our fees in accordance with the agreed payment terms
  • Comply with all legal obligations, including those relating to tax, payroll and anti-money laundering

We rely on the information you provide. We are not responsible for errors, omissions or penalties arising from inaccurate or incomplete information supplied by you.


4. Fees and Payment

Our fees are agreed in advance and set out in your engagement letter or service proposal. Unless otherwise agreed:

  • Invoices are payable within 14 days of the invoice date
  • We reserve the right to charge interest on overdue balances at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
  • We may suspend services where invoices remain unpaid beyond 30 days
  • Additional services outside the agreed scope will be quoted separately before commencement

All fees are quoted exclusive of VAT where applicable.


5. Confidentiality

We treat all client information as strictly confidential. We will not disclose your information to third parties without your consent, except:

  • Where required by law or a regulatory authority (e.g. HMRC, the NCA)
  • Where we are required to report under anti-money laundering legislation
  • To professional advisers bound by their own confidentiality obligations
  • Where you have expressly authorised us to do so

6. Anti-Money Laundering (AML)

As an accounting professional, we are subject to the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017. We are required to:

  • Verify your identity before providing certain services (Know Your Client checks)
  • Report suspicious activity to the National Crime Agency (NCA) where legally required, without notifying you if doing so would constitute "tipping off"

We may request identity documents (e.g. passport, utility bill) and reserve the right to decline to act if satisfactory verification cannot be obtained.


7. Limitation of Liability

Our total liability to you for any claim arising out of or in connection with our services shall not exceed the fees paid by you for the specific service that gave rise to the claim in the 12 months preceding the claim.

We shall not be liable for:

  • Indirect, consequential or special losses
  • Loss of profit, revenue, goodwill or business opportunity
  • Losses arising from your failure to provide accurate and complete information
  • Penalties imposed by HMRC or other bodies where you have not followed our advice
  • Delays caused by factors outside our reasonable control

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.


8. Intellectual Property

All work, reports, templates and materials we produce remain our intellectual property until payment of all outstanding fees has been received in full. Upon full payment, you receive a licence to use the deliverables for the purposes for which they were created.


9. Termination

Either party may terminate the engagement by giving 30 days' written notice. Upon termination:

  • You agree to pay for all work completed up to the termination date
  • We will return original documents and provide a copy of your file in a reasonable format
  • We may retain copies of records as required by law or professional obligations

We reserve the right to terminate immediately if you act in breach of these terms, fail to pay fees, provide false information, or if we become aware of any illegal activity.


10. Complaints Procedure

We are committed to providing a high standard of service. If you are dissatisfied with any aspect of our work, please contact us in writing at info@laurentiuniculescu.co.uk in the first instance. We will acknowledge your complaint within 5 business days and aim to resolve it within 28 days.
